Annual General Meeting 2019
Monday, 2 September, Sydney
The Annual General Meeting of the Australian division of the Institute of Chartered Secretaries and Administrators will be at the 36th National Conference at Sofitel Sydney Wentworth Hotel, 61-101 Phillip Street, Sydney New South Wales on Monday, 2 September 2019 at 1.00pm.
1. To receive the report of Governance Institute of Australia Ltd to the Committee for Australia which we refer to as our National Council and to present this report to members.
2. To note and elect a Member from Victoria to National Council, for a term of three years, commencing 1 January 2020 and ending 31 December 2022.
The persons duly nominated in Victoria are:
- Mr Garth Fountain-Smith FCIS
- Ms Deborah Hambleton FCIS
- Mr Kenneth Weldin FCIS

Pursuant to the Rules, if more candidates are nominated than there are vacancies to be filled at the Annual General Meeting (AGM), then an election shall be held at the AGM.
In terms of the Rules, the candidate receiving the highest number of votes, whether in person or by proxy, attorney or representative voting shall be declared elected. Where two or more candidates receive an equal number of votes, the person to be elected shall be chosen by lot and that shall be conducted by the Australian Secretary.
3. To note the appointment of a Member from South Australia to National Council for a term of three years, commencing 1 January 2020 and ending 31 December 2022.
The person duly nominated in South Australia is:
- Ms Christine Manuel FCIS.
As the number of persons nominated in South Australia corresponds exactly with the number of vacancies, there is no requirement to conduct an election in respect of the South Australia representative and the nominee is deemed appointed to Membership of National Council effective 1 January 2020.

Members who are unable to attend the Annual General Meeting (AGM), or who prefer to register questions beforehand concerning the matters to be considered at the AGM, are invited to do so. Your questions are important to us.
Although we will not be able to reply to each question individually, we will respond to as many of the frequently asked questions as possible at the AGM.
If you appoint a proxy, make sure the Australian Secretary receives your proxy form (and any supporting documents) by 1:00pm on Thursday, 29 August 2019.
